About Stuart D. Levi

Stuart D. Levi is co-head of Skadden’s Intellectual Property and Technology Group, and coordinates the firm’s outsourcing and privacy practices. He has a broad and diverse practice that includes outsourcing transactions, technology and intellectual property licensing, privacy and cyber security advice, branding and distribution agreements, cloud computing agreements, technology transfers, strategic alliances and joint ventures. Mr. Levi also counsels clients on a variety of issues, including website and technology policies, intellectual property matters and legislative compliance. His background in computer science, data privacy and the information technology industry allows Mr. Levi to understand the technology and business drivers underlying agreements and transactions in this area.

Outsourcing

  • McGraw-Hill Companies in the outsourcing of certain IT functions and services, finance and accounting services, and human resources services;
  • Citigroup Inc. in:

      • outsourcing deals involving asset management services;
      • a multiyear $2.5 billion deal to outsource business process services to Tata Consulting Services; and
      • a multiyear $500 million deal to outsource information technology and application development services to Wipro Limited;
    • American Express Company in the outsourcing of certain global printing operations;
    • Barclays Capital in the outsourcing of payroll services;
    • The Hartford Insurance Company in the outsourcing of human resources services;

      Privacy

      • representing numerous companies in connection with data breaches and security audits, including companies in the health, insurance, financial services, manufacturing and publishing industries;
      • representing numerous companies in drafting and implementing privacy and security policies and privacy notices, and complying with GLB, HIPAA, and federal and state requirements;
      • advising companies on transborder data flow issues, including assisting companies with U.S.-EU and U.S.-Switzerland Safe Harbor certifications;
      • advising companies on compliance with state, federal and foreign privacy laws;

        Stadium Naming Licenses

        • MetLife, Inc. in the acquisition of the naming rights for MetLife Stadium (home of the N.Y. Jets and N.Y. Giants);
        • FirstEnergy Corporation in acquiring the naming rights for FirstEnergy Stadium (home of the Cleveland Browns);

          Mergers and Acquisitions

          • The Walt Disney Company in its $4 billion acquisition of Lucasfilm Ltd.;
          • Apple Inc. in connection with a strategic acquisition;
          • United Online in its acquisition of Classmates.com;
          • American Express Company in its $150 million acquisition of Accertify, Inc. and its $300 million purchase of Revolution Money, an Internet-based payments platform;

            Strategic Technology Ventures

            • American Express Company in:

                • its strategic partnership with Lianlian Group of China to introduce American Express’ digital payments platform — Serve — throughout China; and
                • its participation in the Isis mobile commerce initiative;
              • CME Group in connection with a strategic venture with BM&FBOVESPA;
              • Travelers Insurance in connection with cloud computing issues; and
              • JP Morgan Chase in a co-branded global payment solution venture with AirPlus.

                Prior to joining Skadden, Mr. Levi was director of intellectual property for Reuters America Inc. and a vice president of Reuters NewMedia Inc. In these roles, he was responsible for all of Reuters’ technology and intellectual property matters. He also negotiated Reuters’ early stage investments in Yahoo!, Infoseek and Sportsline.

                Mr. Levi has written and spoken on numerous outsourcing, privacy, technology and intellectual property issues, and each year he co-chairs the Practising Law Institute’s Open Source Institute. He was selected as a member of Law360’s 2012 Privacy/Consumer Protection Editorial Advisory Board. Mr. Levi has been named byChambers USA as one of “America’s Leading Lawyers for Business” since 2004 and byChambers Global as one of the “World’s Leading Lawyers for Business” in technology transactions each year since 2002. In 1999, he was selected by Crain’s New York Business for its list of “Forty Under Forty — New York’s Rising Stars,” where he was cited for his work in Internet law. In addition, Mr. Levi repeatedly has been selected for inclusion in The Best Lawyers in America for information technology law.
